Terms of Service

brightplace inc ("brightplace," "we," "us," or "our") is a Delaware corporation with its principal place of business at 221 River St, Hoboken, NJ 07030. We operate brightplace.ai, an AI-native apartment search and discovery service available to renters across the United States.

These Terms of Service ("Terms") govern your access to and use of the Service as a renter, visitor, or registered user. They form a legally binding agreement between you and brightplace. Our Privacy Policy is incorporated into these Terms by reference. Separate terms govern operator and API access.

We believe renters deserve clarity. We wrote these Terms to be readable, not just legally sufficient.

01Acceptance of these Terms

By accessing or using brightplace.ai or any brightplace product or service, you agree to be bound by these Terms, our Privacy Policy, and any additional guidelines posted on the platform. If you do not agree, you must not access or use the Service.

These Terms apply to all users of the Service, including visitors who browse without an account and registered users who access personalized features. The Privacy Policy is available at brightplace.ai/privacy and is incorporated into these Terms in full.

02Eligibility

Age requirement

The Service is available only to individuals who are 18 years of age or older. Apartment rentals require legal contractual capacity, which is available only to adults. By using the Service you represent and warrant that you are at least 18 years old. If you do not meet this requirement, you must not access or use the Service.

Geographic restriction

The Service is intended exclusively for use within the United States. You are not authorized to use the Service if you are located outside the United States. We do not warrant that the Service is appropriate or available for use outside the United States. If you access the Service from outside the United States, you do so on your own initiative and at your own risk.

Representation

By using the Service, you represent and warrant that: (i) you are at least 18 years old; (ii) you are located in the United States; (iii) you have the legal capacity to enter into a binding agreement; and (iv) your use of the Service complies with all applicable laws and regulations.

03Accounts

Account creation

You may use brightplace search without creating an account. Certain features, including saved searches, chat history, session memory, and sharing, require a registered account. To create an account you must provide accurate, current, and complete information and keep it updated. You may register using Google SSO or another supported authentication provider.

Account security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at support@brightplace.ai if you suspect unauthorized access to your account. We reserve the right to disable any account at any time if, in our judgment, you have violated any provision of these Terms.

One account per user

Your account is personal to you. You may not share your credentials or transfer your account to another person. If your account is terminated, you may not register a new account without our prior written consent.

04The Service

What brightplace provides

brightplace provides AI-powered apartment search and discovery. The Service includes: (i) conversational search for residential multifamily apartment rental listings; (ii) personalized recommendations based on renter-expressed preferences; (iii) the Listings Source API, an open API that enables LLMs, AI agents, and third-party marketplaces to access brightplace's enriched rental inventory; and (iv) Conversion Intel, which provides operators with structured intent data generated by renter interactions with their properties.

Listings and accuracy

Apartment listings on brightplace are sourced from operator websites, Property Management Systems, and third-party data feeds. brightplace does not own, manage, or guarantee the accuracy or availability of any listing. Pricing, availability, amenities, and lease terms are set by operators and are subject to change without notice. You should verify all material information directly with the operator before making any leasing decision.

AI-powered results

brightplace search is powered by artificial intelligence. Results are generated algorithmically based on your expressed preferences and our data. brightplace does not guarantee that AI-generated results, recommendations, or summaries are accurate, complete, or current. brightplace's role is to support your reasoning, not replace it. We never claim a property is the "best" or "perfect" match for you.

Operator-embedded deployments

The brightplace search experience may be embedded on apartment operator websites. When you use brightplace on an operator's website, you are subject to both these Terms and that operator's own terms and privacy policy. brightplace is not responsible for the operator's conduct, listing accuracy, or their handling of your personal information.

No brokerage or agency relationship

brightplace is a technology platform, not a real estate broker, agent, or advisor. Nothing in the Service constitutes brokerage, legal, financial, or investment advice. brightplace does not represent you or any operator in any transaction. Any rental transaction is solely between you and the operator.

Service availability

We reserve the right to modify, suspend, or discontinue the Service or any feature at any time with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

05Communications and TCPA Consent

Transactional communications

By creating an account, you consent to receiving transactional communications from us by email and, where you provide a phone number, by SMS/text message. Transactional messages include account verification, password reset, saved-search alerts, and session notifications. Consent to transactional communications is not a condition of using the search service.

Operator contact consent

When you submit an inquiry, tour request, or application to an apartment operator through brightplace, you give that operator your express written consent to contact you about your inquiry, including by automated calls, pre-recorded or artificial voice messages, and text messages, even if your phone number is on a do-not-call registry. This consent is given directly to the operator and is subject to that operator's own communications policies. Consent to operator contact is not a condition of using brightplace.

Opting out

To stop receiving SMS messages from brightplace, reply STOP to any text we send. You will receive a confirmation; no further messages will follow. To resume, reply START or contact support@brightplace.ai. To unsubscribe from marketing emails, click the unsubscribe link in any marketing email or email privacy@brightplace.ai. To stop operator communications, contact the operator directly. Message and data rates may apply. Carriers are not liable for delayed or undelivered messages.

Number changes

If you change or deactivate your mobile phone number, update your account promptly to ensure messages are not delivered to a person who acquires your former number.

06Intellectual Property

brightplace's property

The Service and all of its contents, including software, algorithms, machine learning models, search infrastructure, Conversion Intel, text, graphics, logos, and the selection and arrangement of all material ("Company Materials"), are owned by brightplace, its licensors, or its data providers and are protected by United States and international copyright, trademark, trade secret, and other intellectual property laws. No right, title, or interest in the Service or Company Materials is transferred to you.

Your license to use the Service

Subject to these Terms, brightplace grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial apartment search. This license does not include any right to: sell, sublicense, or commercially exploit the Service or its content; scrape, index, or systematically copy listings or data; or use the Service to build a competing product or service.

Intent data

Search queries, behavioral signals, and other intent data you generate while using brightplace are processed as described in our Privacy Policy. brightplace owns the aggregate, de-identified intent datasets, models, and analytics derived from platform-wide usage. Individual renter data is handled in accordance with the Privacy Policy and applicable law.

Feedback

If you submit suggestions, ideas, or feedback about the Service, you hereby assign to brightplace all rights in such feedback without compensation. brightplace may use feedback for any purpose without restriction or attribution.

Copyright infringement (DMCA)

If you believe that material on brightplace infringes your copyright, please send a DMCA-compliant notice to legal@brightplace.ai. Your notice must include: (i) identification of the copyrighted work; (ii) identification of the infringing material and its location on the Service; (iii) your contact information; (iv) a statement of good faith belief; and (v) a statement of accuracy under penalty of perjury.

07Listings Source API

The Listings Source API is intentionally open for access by LLMs, AI agents, third-party marketplaces, and developers who wish to integrate brightplace apartment rental data into their products and services. No formal agreement with brightplace is required to access the API.

Permitted use

The Listings Source API may be used to retrieve apartment rental listings for the purpose of helping renters discover housing. This includes integration into AI assistants, conversational agents, real estate marketplaces, and similar consumer-facing applications.

Prohibited API use

While access to the API is open, the following uses are prohibited regardless of how access is obtained: (i) using API data for purposes unrelated to apartment search and discovery; (ii) circumventing or attempting to circumvent rate limits, authentication controls, or usage policies published at brightplace.ai/api; (iii) reproducing or reselling brightplace data as a standalone data product; (iv) using API outputs to train, fine-tune, or develop machine learning models or AI systems without our prior written consent; and (v) any use that would constitute a violation of the Fair Housing Act or applicable law.

Attribution

Applications and services that surface brightplace data to end users should attribute the source. Recommended attribution: "Apartment data provided by brightplace."

Rate limits and access controls

brightplace may implement rate limits, authentication tiers, and usage monitoring to maintain platform performance and prevent bulk extraction by competitors. These controls are published at brightplace.ai/api and may be updated at any time. Use of the API constitutes acceptance of those controls.

08Trademarks

The brightplace name, logo, wordmark, and all related product names, design marks, and slogans are trademarks or service marks of brightplace inc ("brightplace Marks"). You may not use any brightplace Mark without our prior written consent. Nothing in these Terms grants you any right, license, or interest in any brightplace Mark.

All other trademarks, logos, and service marks appearing on the Service are the property of their respective owners. brightplace does not claim ownership of third-party marks and disclaims any sponsorship of or affiliation with any third party whose marks appear on the Service. brightplace is generally unable to evaluate disputes regarding third-party marks and encourages users to resolve such disputes directly with the relevant mark owner.

09Prohibited Uses

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Violate any applicable federal, state, local, or international law or regulation, including the Fair Housing Act, the Telephone Consumer Protection Act, or any anti-spam law
  • Use the Service if you are under 18 years of age or located outside the United States
  • Impersonate brightplace, a brightplace employee, another user, an apartment operator, or any other person or entity
  • Defame, harass, abuse, threaten, stalk, or defraud any other user of the Service or any third party
  • Submit false, misleading, or inaccurate information to brightplace or through the Service
  • Use the Service to discriminate against any person on the basis of race, color, national origin, religion, sex, familial status, disability, or any other characteristic protected by the Fair Housing Act or applicable law
  • Use automated tools, scrapers, bots, spiders, or data mining techniques to access, collect, or copy listings, search results, or any other content from the Service without our prior written consent
  • Use the Listings Source API to access brightplace data for purposes other than apartment search and discovery, or in any manner that circumvents rate limits, authentication controls, or usage policies published at brightplace.ai/api
  • Reverse engineer, decompile, or attempt to extract the source code of any brightplace software, algorithm, or AI model
  • Use brightplace data, content, or outputs to train, fine-tune, or develop any machine learning model or AI system without our prior written consent
  • Introduce malware, viruses, or other harmful code into the Service
  • Attempt to gain unauthorized access to any part of the Service, other user accounts, or connected systems
  • Harvest or collect personal information about other users without their consent
  • Engage in any conduct that restricts or inhibits any other user's use of the Service or exposes brightplace or its users to liability

10Third-party Content and Listings

Non-brightplace content

The Service aggregates apartment listings and related information from operators, Property Management Systems, public sources, and third-party data providers ("Non-brightplace Content"). brightplace does not verify Non-brightplace Content. Listing prices, availability, amenities, pet policies, lease terms, and other property details are provided by operators and may be inaccurate, incomplete, or out of date.

No endorsement

The inclusion of any listing or operator on brightplace does not constitute an endorsement, recommendation, or warranty by brightplace. brightplace does not pre-screen operators or verify their compliance with applicable law, including the Fair Housing Act.

Operator responsibility

Apartment operators are solely responsible for the accuracy of their listings, their compliance with applicable law, and their conduct toward prospective renters. brightplace is not a party to any rental transaction and assumes no liability for any dispute, injury, or loss arising from your interaction with an operator.

No monitoring obligation

brightplace does not control Non-brightplace Content and has no obligation to pre-screen, monitor, edit, or remove such content. If brightplace chooses at any time, in its sole discretion, to monitor Non-brightplace Content, brightplace nonetheless assumes no responsibility for that content and retains the right to remove any Non-brightplace Content at any time and for any reason without notice.

Release of operator disputes

If you have a dispute with an apartment operator or other third party arising in connection with your use of the Service, you release brightplace and its officers, directors, employees, and agents from all claims, demands, and damages of every kind and nature, known and unknown, arising out of or in any way connected with such dispute.

You acknowledge that under New Jersey common law, a general release may not extend to claims that the releasing party does not know or suspect to exist in their favor at the time of executing the release. To the fullest extent permitted by applicable law, you expressly waive any rights you may have under New Jersey common law or any other statute or common law principle of similar effect with respect to any unknown or unsuspected claims released above.

11Fair Housing Compliance

brightplace is committed to compliance with the Fair Housing Act and all applicable state and local fair housing laws. brightplace does not use protected characteristics, including race, color, national origin, religion, sex, familial status, or disability, to personalize, restrict, or rank search results. Our search personalization is based solely on preferences you express.

You agree not to use the Service in any manner that violates the Fair Housing Act or any applicable fair housing law, including by attempting to filter listings based on protected characteristics of a neighborhood's residents. If you believe you have experienced housing discrimination, you may file a complaint with the U.S. Department of Housing and Urban Development (HUD) at hud.gov/fairhousing.

12Privacy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy explains how we collect, use, share, and protect your personal information, including intent data, precise geolocation, and communications. Our Privacy Policy is available at brightplace.ai/privacy and can be requested by emailing privacy@brightplace.ai. Data rights requests, including access, correction, deletion, and opt-out requests, are governed by the Privacy Policy. We respond to all verifiable requests within 45 days. 13Disclaimers

THE SERVICE, COMPANY MATERIALS, AND ALL LISTINGS AND NON-BRIGHTPLACE CONTENT ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

BRIGHTPLACE DOES NOT WARRANT THAT: (A) THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS; (B) LISTING INFORMATION, AI-GENERATED RESULTS, OR ANY OTHER CONTENT IS ACCURATE, COMPLETE, OR CURRENT; OR (C) THE SERVICE WILL MEET YOUR REQUIREMENTS. YOUR USE OF THE SERVICE AND RELIANCE ON ANY CONTENT IS ENTIRELY AT YOUR OWN RISK.

BRIGHTPLACE DOES NOT MAKE ANY WARRANTIES REGARDING THE ORDER, RANKING, OR NATURE OF SEARCH RESULTS. AI-POWERED RECOMMENDATIONS ARE GENERATED ALGORITHMICALLY AND MAY NOT REFLECT THE FULL RANGE OF AVAILABLE PROPERTIES OR CURRENT PRICING.

14Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BRIGHTPLACE AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, LOSS OF GOODWILL, OR PERSONAL INJURY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SERVICE, EVEN IF BRIGHTPLACE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL BRIGHTPLACE'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO BRIGHTPLACE IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) ONE HUNDRED DOLLARS ($100).

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR LIABILITY. IN THOSE JURISDICTIONS, THE ABOVE LIMITATIONS APPLY ONLY TO THE EXTENT PERMITTED BY LAW.

15Indemnification

You agree to indemnify, defend, and hold harmless brightplace and its affiliates, licensors, and service providers, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your use of or inability to use the Service; (ii) your violation of these Terms; (iii) your violation of any applicable law or regulation, including the Fair Housing Act; or (iv) your violation of the rights of any third party, including any operator or other user.

brightplace reserves the right to assume exclusive defense and control of any matter for which you are required to indemnify us, in which case you agree to cooperate with our defense. You agree not to settle any such matter without our prior written consent.

16Dispute Resolution and Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU TO RESOLVE MOST DISPUTES WITH BRIGHTPLACE THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT AND LIMITS YOUR ABILITY TO SEEK RELIEF ON A CLASS OR REPRESENTATIVE BASIS.

Informal resolution first

Before filing any formal claim, you agree to contact brightplace at legal@brightplace.ai and describe your dispute in reasonable detail. We will attempt to resolve the dispute informally. If the dispute is not resolved within 30 days of submission, either party may initiate arbitration.

Agreement to arbitrate

Except as set forth below, you and brightplace agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") will be resolved by binding individual arbitration administered by JAMS under its Consumer Minimum Standards. The Federal Arbitration Act (9 U.S.C. § 1 et seq.) governs the interpretation and enforcement of this arbitration agreement.

Arbitration procedures

Arbitration will be conducted by JAMS under its rules, available at jamsadr.com or by calling 1-800-352-5267. The arbitration will be held in Hoboken, New Jersey, or the United States county where you live or work, or may be conducted by telephone or written submissions at your election. The arbitrator may award the same individual relief a court could award, including injunctive or declaratory relief on an individual basis.

Fees

Filing, administration, and arbitrator fees are governed by JAMS rules. brightplace will reimburse those fees for claims totaling less than $10,000 unless the arbitrator determines the claims are frivolous. brightplace will not seek attorneys' fees and costs in arbitration unless the arbitrator determines the claims are frivolous.

No class actions

ANY ARBITRATION WILL TAKE PLACE ON AN INDIVIDUAL BASIS ONLY. CLASS ARBITRATIONS, CLASS ACTIONS, CONSOLIDATED OR REPRESENTATIVE ACTIONS ARE NOT PERMITTED. BY AGREEING TO THESE TERMS, YOU WAIVE (A) THE RIGHT TO A TRIAL BY JURY AND (B) THE RIGHT TO PARTICIPATE IN ANY CLASS OR REPRESENTATIVE ACTION.

Exceptions to arbitration

Either party may bring an individual action in small claims court. Either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened misappropriation or infringement of intellectual property rights.

One-year limitation

ANY CAUSE OF ACTION ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE MUST BE COMMENCED WITHIN ONE YEAR AFTER THE CAUSE OF ACTION ACCRUES. OTHERWISE, SUCH CAUSE OF ACTION IS PERMANENTLY BARRED.

Opt-out

If you are a new user, you may opt out of this arbitration agreement by mailing a written notice to brightplace inc, Attn: Legal, 221 River St, Hoboken, NJ 07030 within 30 days of the date you first accepted these Terms. Your notice must include your name, email address, a statement that you reject the arbitration agreement, and your signature. Opting out does not affect any other provision of these Terms.

Governing law

These Terms and any Dispute not subject to arbitration are governed by the laws of the State of New Jersey, without regard to its conflict of law principles. Any such claims are subject to the exclusive jurisdiction of the state and federal courts located in Hudson County, New Jersey.

17Termination

brightplace may suspend, disable, or terminate your account or access to the Service at any time, with or without cause and with or without notice, including if we reasonably believe you have violated these Terms. You may terminate your account at any time by following the account deletion process in your settings or by contacting support@brightplace.ai.

Upon termination: (i) your license to use the Service ends immediately; (ii) you must cease all use of the Service and Company Materials; and (iii) the following sections survive termination and remain in full force and effect: Section 05 (Communications and TCPA Consent), Section 06 (Intellectual Property), Section 07 (Listings Source API), Section 08 (Trademarks), Section 09 (Prohibited Uses), Section 10 (Third-party Content and Listings), Section 11 (Fair Housing Compliance), Section 12 (Privacy), Section 13 (Disclaimers), Section 14 (Limitation of Liability), Section 15 (Indemnification), Section 16 (Dispute Resolution and Arbitration), Section 17 (Termination), and Section 19 (General Provisions).

brightplace is not liable to you or any third party for any suspension or termination of your account or access to the Service.

18Changes to these Terms

We may revise these Terms at any time. All changes are effective immediately when posted, and we will update the date at the top of this page. Your continued use of the Service following the posting of revised Terms means you accept and agree to the changes. You are expected to review this page periodically so you are aware of any updates.

Changes to Section 16 (Dispute Resolution and Arbitration) are subject to the opt-out procedure described in that section.

19General Provisions

Entire agreement

These Terms, together with the Privacy Policy and any applicable order form or API agreement, constitute the entire agreement between you and brightplace regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is held invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

No waiver

brightplace's failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or any rights hereunder without brightplace's prior written consent. brightplace may assign these Terms without restriction.

Force majeure

brightplace will not be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including natural disasters, acts of government, power failures, internet outages, or acts of third parties.

Export compliance

You agree not to use the Service in violation of United States export control laws or regulations.
